UniDrive macOS EULA (End-User License Agreement)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and OrinTech Inc. ("Company," "we," "our," "UniDrive") governing your use of the UniDrive desktop application for macOS ("Software").

By installing, copying, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement, UniDrive grants you a:

• non-exclusive
• non-transferable
• revocable
• limited license

to install and use the Software on your personal macOS device(s) solely for accessing and using UniDrive's Services. You acknowledge that the Software is licensed, not sold.

2. Scope of Use

You may:

• install and run the Software on any macOS device you own or control;
• use the Software only to access features offered by UniDrive;
• download updates provided by UniDrive.

You may not:

• modify, alter, or create derivative works of the Software;
• decompile, reverse engineer, or extract source code (except as permitted by law);
• circumvent or interfere with security, permissions, or usage limits;
• use automated tools to extract or scrape internal software behavior;
• rent, lease, sublicense, or transfer the Software to others.

3. Local Permissions & System Access

The Software may request the following macOS permissions depending on features you use:

• File System Access (Reads & Documents): to index and organize files
• Downloads Folder Access: for browser download management
• Screen Recording (optional future feature): only for features explicitly enabled by the user
• Notifications
• Clipboard Access (for autocomplete, summaries, etc.)

UniDrive will only access local files necessary to provide features you choose to enable. You may revoke permissions at any time via macOS Settings.

4. AI Processing and Data Handling

Certain features (semantic search, tag generation, document analysis, LOGOS reasoning, RAG, autocomplete) may send file content or excerpts to:

• UniDrive's servers,
• UniDrive's embeddings models,
• and/or third-party AI providers.

This processing is governed by the Privacy Policy and Terms of Service, which form part of this Agreement. We do not use your documents to train AI models unless you explicitly opt in.

5. Updates

UniDrive may provide automatic or manual updates. By using the Software, you consent to UniDrive delivering:

• bug fixes
• new features
• security patches
• performance enhancements

Updates may modify or remove features. Continued use after updates indicates acceptance.

6. Open Source Components

The Software may include third-party open-source libraries or components. These are provided under their respective licenses.

7. Intellectual Property

UniDrive retains all rights, title, and interest in the Software, including:

• interface design
• source code
• AI models
• logos and branding
• documentation
• proprietary algorithms

No rights are granted to you except those expressly stated in this Agreement.

8. Termination

This license terminates automatically if:

• you breach this Agreement;
• you violate the Terms of Service;
• you attempt to circumvent usage restrictions;
• you uninstall the Software.

Upon termination:

• you must stop using the Software;
• UniDrive may disable access through authentication;
• your UniDrive account remains governed by the ToS.

9. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. UNIDRIVE DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• UNIDRIVE SHALL NOT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES.
• UNIDRIVE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, PROFITS, OR REVENUE.
• UNIDRIVE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF AI-GENERATED CONTENT OR RELIANCE ON SUCH CONTENT.

IN ANY CASE, UNIDRIVE'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WILL BE LIMITED TO THE AMOUNTS YOU HAVE PAID TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in such cases, the above limits apply only to the fullest extent permitted by law.

11. Governing Law

This Agreement is governed by the laws of the State of Delaware, excluding conflict-of-law rules.
