TERMS OF SERVICE (UniDrive)

Welcome to UniDrive ("UniDrive," "we," "our," or "us"). These Terms of Service ("Terms") form a binding agreement between UniDrive (OrinTech Inc.) and you ("you," "user," or "Customer"). By accessing or using UniDrive's applications, websites, extensions, software, or services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

1. Description of the Services

UniDrive is an AI-powered file management, organization, and productivity platform. Features may include:

• Intelligent tagging and hierarchical structures
• AI-powered semantic search
• File storage, syncing, and browsing
• Local and cloud-based file analysis
• Chat-based interaction with your documents
• Browser download organization
• Document reading, highlighting, and autocomplete

Some features are available only to paid users.

2. Eligibility

• You must be at least 13 years old to use UniDrive.
• If you are located in the European Economic Area (EEA), the United Kingdom, or in any jurisdiction where a higher age of digital consent applies, you must meet that higher age (typically 16) or obtain verifiable consent from a parent or legal guardian.
• If you are under the age of majority in your jurisdiction, you must have consent from a parent or legal guardian.

3. User Accounts

You must create an account to access certain features. You agree to:

• provide accurate information;
• maintain the security of your account credentials;
• promptly notify us of any unauthorized access.

You are responsible for all activities conducted through your account.

4. User Content

4.1 Ownership

You retain full ownership of all files, documents, data, metadata, text, media, and any other content you upload or create through UniDrive ("User Content"). We do not claim ownership over your files.

4.2 License to UniDrive

To provide the Services, you grant UniDrive a limited, non-exclusive, revocable, worldwide license to:

• process, store, transmit, and index your files;
• generate embeddings, tags, highlights, and analytics;
• use third-party AI models (if applicable) to perform tasks you request;
• surface results through search, chat, autocomplete, and document analysis.

This license exists solely to operate and improve the Services you use. We do not train our models on your files unless you opt in.

4.3 Responsibility for Your Content

You are responsible for the legality and accuracy of your content. You may not upload unlawful, abusive, harmful, or infringing content.

5. AI Features and Model Usage

UniDrive provides AI-powered features using a combination of:

• UniDrive's internal LOGOS engine
• Local on-device processing
• Third-party APIs or hosted models provided by third-party AI vendors

As of the date of these Terms, our third-party AI providers may include, for example, OpenAI, Anthropic, Jina AI, Perplexity, and OpenRouter (which may in turn route to additional model providers such as Meta Llama, Google Gemini, and others). The exact list of providers and models we use is kept up to date on our website.

We will disclose the models used and how your data interacts with them in our Privacy Policy. We do not allow AI providers to train on your personal data or file contents, unless you have explicitly opted in where this is offered.

6. Software License

UniDrive grants you a revocable, non-transferable, non-exclusive license to install and use our macOS app, web app, browser extension, and related software.

You may not:

• reverse engineer, decompile, or attempt to extract source code;
• bypass security protections;
• copy or redistribute our software except as allowed by law.

7. Acceptable Use Policy

You agree not to:

• use UniDrive for illegal or harmful activities;
• interfere with or disrupt the Services;
• upload malware or malicious files;
• access other users' content without authorization;
• attempt to bypass usage limits or credits.

We may suspend accounts that violate this policy.

We may also publish a more detailed Acceptable Use Policy on our website from time to time, and you agree to comply with any such policy as part of these Terms.

8. Payments and Credits

Paid plans allow additional credits, storage, processing, and advanced AI features.

8.1 Billing

Payments are processed through third-party providers (e.g., Stripe). By purchasing a plan, you authorize us and our payment processor to charge your payment method.

8.2 Refunds

Unless required by law, all fees and purchases are non-refundable.

8.3 Credits

Credits may be used for AI processing and other metered features. Credits:

• have no cash value;
• are non-refundable;
• may expire as described below.

Unless we state otherwise at the time of purchase, paid credits do not expire earlier than 12 months from the date they are added to your account. Promotional or free credits may have shorter expiration periods; any such expiration date or other special conditions will be clearly disclosed at the time those credits are granted.

9. Third-Party Services

Certain functionality relies on integrations with external systems, APIs, or storage providers. UniDrive is not liable for failures or actions of third-party vendors.

10. Termination

• You may stop using the Services at any time.
• We may suspend or terminate access if:
• you violate these Terms;
• we suspect harmful or abusive behavior;
• doing so is required by law.

Your files will remain available for export for a reasonable period unless legally prohibited.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Beta Services: Certain features may be offered as "beta," "preview," or "early access." These features are provided as-is and may be unstable, changed, or discontinued without notice.

AI-generated outputs may be inaccurate or incomplete. You assume responsibility for evaluating the accuracy and appropriateness of all results.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIDRIVE SHALL NOT BE LIABLE FOR:

• INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES;
• LOSS OF DATA, PROFITS, OR REVENUE;
• ERRORS IN AI-GENERATED OUTPUT;
• UNAUTHORIZED ACCESS TO YOUR ACCOUNT CAUSED BY YOU OR A THIRD PARTY.

Our maximum liability will not exceed the amount you paid to us in the last 12 months.

13. Changes to the Services and Terms

We may update these Terms or modify the Services at any time. Continued use constitutes acceptance of updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflicts of law principles.
